RibbonReady Terms of Service
Last updated: 3 November 2026
These terms cover the RibbonReady software licence, payments and subscriptions, and the content you make with RibbonReady. Our Privacy Policy explains how we handle personal information.
1. Terms of Service and Software Licence
1.1 Who we are. RibbonReady is supplied by Ryan Ramage trading as Ribbon Ready, ABN 43 577 236 005, based in Western Australia ("we", "us"). Contact: create@getribbonready.com. Notices under these terms can be sent to that email address.
1.2 Agreeing to these terms. By starting a free trial, buying a subscription, or installing or using RibbonReady, you agree to these terms (including the Payment and Subscription Terms in section 2 and the Acceptable Use and Content Terms in section 3) and our Privacy Policy. If you accept for a club, company or other organisation, you confirm you are authorised to bind it, and "you" means that organisation.
1.3 Your consumer rights. Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law (ACL) or any other law that cannot be excluded. Where a limit in these terms is not allowed by law, it applies only to the extent the law allows.
1.4 What RibbonReady does. RibbonReady is desktop software for Mac and Windows that converts video artwork you supply into files sized for LED ribbon boards and other venue screens. Video processing happens on your computer. Your videos are not uploaded to us.
1.5 Licence. The software is licensed, not sold. While your subscription or trial is active and you follow these terms, we grant you a non-exclusive, non-transferable licence to install and use RibbonReady on the number of computers (seats) you have paid for, for making content for your own events or for your clients' events.
1.6 Licence keys and computers.
- Each seat is tied to one computer. To move a seat to a new computer, use "Deactivate this computer" in the app on the old one, or contact us and we will release it.
- The software checks your key online. It keeps working offline for up to 14 days, then needs to connect again.
- Offline activation codes for computers that are never online are issued for a fixed period and cannot be extended early.
- Keep your key confidential. You are responsible for use of your key.
1.7 You must not:
- share, sell, rent, lend, sublicense or publish the software or your licence key;
- use one seat on more than one computer, or try to get more than one free trial for the same computer;
- remove, hide or get around the licence check, the trial watermark, or copyright notices;
- reverse engineer, decompile or modify the software, except where the law allows it despite this restriction;
- use the software to build a competing product.
1.8 Updates and the venue list. RibbonReady can download software updates and an updated list of venue screen sizes. Updates are installed when the app next starts, never during a render. We may change features, but we will not remove a core feature you have paid for during your current billing period without offering a pro-rata refund.
1.9 Venue specifications. Venue presets are based on information from venues, leagues and screen operators and can change without notice. They are provided as a convenience. You are responsible for confirming the current specification with the venue or its screen operator, and for checking every file (size, frame rate, length, colour, alignment and timecode) before it is supplied or played. RibbonReady's spec check is an aid, not a guarantee of acceptance by any venue.
1.10 Third-party software. RibbonReady includes FFmpeg, which is separate software licensed under the GNU General Public License. These terms do not apply to it. See THIRD-PARTY.txt in the app.
1.11 Ownership. We own RibbonReady, its code, design, name and logo. You own your artwork and the files you make with it (see section 3).
1.12 Support. We provide support by email at create@getribbonready.com on business days in Western Australia, and aim to reply within 2 business days. Response times are a goal, not a guarantee.
1.13 Availability. The licence and update servers run on third-party cloud services. We aim for them to be available at all times, but outages can happen. The 14-day offline period is designed so a short outage does not stop your work.
1.14 Consumer guarantees. If you are a consumer under the ACL, our services come with guarantees that cannot be excluded. For a major failure you are entitled to cancel and receive a refund for the unused part, or compensation for its reduced value. You are also entitled to compensation for any other reasonably foreseeable loss or damage. If a failure is not major, you are entitled to have it fixed in a reasonable time, and if that is not done, to cancel and get a refund for the unused part.
1.15 Limits of our liability. To the extent the law allows:
- where a guarantee applies but the software is not of a kind ordinarily acquired for personal, domestic or household use, our liability for a failure is limited to supplying the services again or paying the cost of having them supplied again;
- we are not liable for indirect or consequential loss, lost profits, lost sponsorship or advertising revenue, or costs from content that is rejected, mistimed, or played incorrectly at a venue;
- our liability is reduced to the extent a loss was caused or contributed to by you, your clients, your computer or other software, or a venue's playback or screen systems;
- our total liability to you for all claims is limited to the fees you paid us in the 12 months before the claim arose.
These limits do not apply to liability that cannot be limited by law, or to loss caused by our fraud or wilful misconduct.
1.16 Third-party claims. If someone claims that RibbonReady itself (not your artwork) infringes their intellectual property rights, we will defend that claim at our cost and cover any damages awarded against you, as long as you tell us promptly and let us handle it. We may instead change the software so it no longer infringes, or end your licence and refund the fees for the unused period. In return, you agree to cover our reasonable losses and costs from a third-party claim caused by your artwork or by your breach of these terms, except to the extent we caused it.
1.17 Suspension and ending the licence. We may suspend or cancel a licence key if you materially breach these terms (for example by sharing your key), after telling you and giving you 14 days to fix the breach where it can be fixed. If we cancel for your breach, no refund is owed except where the law requires. If we stop offering RibbonReady, we will give at least 60 days' notice and refund any prepaid fees for the period after it stops.
1.17A When your licence ends. Your files and artwork stay on your computers and remain yours. The software stops making new files once your licence or trial ends. We keep your account records only as described in our Privacy Policy.
1.18 Changes to these terms. We may update these terms. For changes that reduce your rights, we will email you at least 30 days before they apply, and you can cancel before then. The new terms apply from your next billing period.
1.19 Disputes. Contact us first and we will try to resolve it within 30 days. These terms are governed by the laws of Western Australia, and the courts of Western Australia have non-exclusive jurisdiction. Consumers keep any right to go to a consumer protection agency or tribunal.
1.20 General. If part of these terms is invalid, the rest still applies. Not enforcing a term is not a waiver. You may not transfer your rights without our consent. We may transfer them to a buyer of the RibbonReady business, and will tell you if we do.
2. Payment, Subscription, Trial and Refund Terms
2.1 Plans and prices. RibbonReady is sold per computer (seat):
| Plan | Price per seat | Billed |
|---|---|---|
| Monthly | A$49.99 | Every month |
| Yearly, 1 to 9 seats | A$499.90 | Every year |
| Yearly, 10 or more seats | A$449.91 | Every year |
The price shown at checkout is the full price you pay. We are not registered for GST, so no GST is included or charged. If we register for GST, we will give you at least 30 days' notice before GST is added (see 2.7). Customers outside Australia are responsible for any taxes in their own country.
2.2 Invoices. An invoice and receipt is emailed for every payment and is available in the customer billing portal. Because we are not registered for GST, these are not tax invoices and no GST credit can be claimed.
2.3 Payment. Payments are processed by Stripe. We never see or store your full card details. By subscribing, you authorise us (through Stripe) to charge your payment method at the start of each billing period until you cancel.
2.4 Subscription period and renewal. Your subscription starts on the day your first payment goes through and runs for one month or one year from that date. For example, a yearly plan bought on 15 March runs to 15 March the next year. Your receipt and the billing portal show the start and end dates of your current period. Subscriptions renew automatically at the end of each period, on the same date each month or year. For yearly plans, we will email a reminder before each renewal.
2.5 Promotional codes. Promo codes apply only on the terms stated with them (for example, the discount and how many billing periods it lasts). They cannot be exchanged for cash, and after the promo period the normal price applies.
2.6 Changing seats. You can add or remove seats in the billing portal. Added seats are charged pro rata for the rest of the current period. Removed seats take effect when the change is made, and the billing portal shows any credit. Computers already activated keep working, but no new computer can be activated until the number of active computers is within your seats. Volume pricing applies to the number of yearly seats on the subscription at the time.
2.7 Price changes. We may change prices. We will email you at least 30 days before a new price applies to your subscription, and the new price applies only from your next renewal after that notice. You can cancel before then.
2.8 Free trial. Each computer can have one 7-day free trial. Trial output carries a visible "RibbonReady Trial" watermark and must not be used for broadcast, public display or supply to clients. No payment details are needed for the trial, and it does not turn into a paid subscription automatically. Trying to reset or get around the trial limit breaches these terms.
2.9 Cancelling. You can cancel at any time in the billing portal (link in every receipt email) or by emailing create@getribbonready.com. Cancelling stops the next renewal. Your licence keeps working until the end of the period you have paid for.
2.10 Failed payments. If a renewal payment fails, Stripe will retry it and we will email you. Your licence keeps working for 7 days after the paid period ends. If payment still has not succeeded, the licence stops until the payment is made.
2.11 Refunds. Because you can try RibbonReady free for 7 days before paying, we do not give refunds for change of mind, unused time after cancelling, or buying the wrong number of seats (you can reduce seats in the billing portal instead). This does not affect your rights under the Australian Consumer Law. If RibbonReady has a major failure, or a failure we cannot fix within a reasonable time, you are entitled to a refund as described in section 1.14. Email create@getribbonready.com with your licence email and what went wrong, and we will respond within 5 business days.
2.12 Chargebacks. Please contact us before disputing a charge with your bank, because most problems can be fixed quickly. If a charge is reversed, the related licence may be suspended until the matter is resolved.
2.13 Orders for clients. If you buy seats for a client or on behalf of another organisation, you are responsible for paying for them and for that organisation following these terms. All licences are sold directly by us. RibbonReady has no authorised resellers, and licence keys may not be resold.
3. Acceptable Use and Content Terms
3.1 Your content stays yours. You (or your clients and their licensors) own the artwork you put into RibbonReady and the files it produces. We claim no rights in it, and because processing happens on your computer, we never receive it.
3.2 You need the rights. You confirm that you own, or have permission to use, everything in the artwork you convert, including sponsor and club logos, team names, player images, music, fonts and footage, for the venue and use you are making it for.
3.3 Working for clients. If you make files for clients (for example sponsors, clubs or agencies), you are responsible for getting their approval of the final files and for any agreement you have with them. We are not a party to that agreement.
3.4 Checking before air. Venues, leagues and screen operators set their own rules for content, timing and technical specification. You are responsible for meeting them and for checking every file before it is supplied or played. We are not responsible for content that is rejected, plays incorrectly, or is shown at the wrong time, to the extent the law allows (see section 1.15).
3.5 Content you must not make. Do not use RibbonReady to make content that infringes intellectual property rights, is defamatory, misleading or discriminatory, breaches advertising or gambling advertising rules, or breaks any law or venue rule.
3.6 Trial output. Watermarked trial output is for evaluation only. It must not be shown in public, broadcast or given to clients, and removing the watermark is not allowed.
3.7 Feedback and screen-size suggestions. If you send us feedback or a custom screen size, we may use it to improve RibbonReady, including adding the size to the venue list for all users. We will not publish your name or your client's name with it.
